Terms of Use
These Terms of Use ("Terms") govern your access to and use of the Babbar Ops website and Services provided by Babbar Operations LLC ("Babbar Ops," "we," "us," or "our").
Babbar Ops provides Services primarily to public safety agencies and other organizational customers. Individual users typically access the Services only as Authorized Users acting under the authority of a Customer.
Important: If you are using Babbar Ops through an agency or organization that has a signed agreement with Babbar Ops (a "Customer Agreement"), then the Customer Agreement governs your agency's use of the Services, and these Terms apply only to the extent they do not conflict with that Customer Agreement.
1. Acceptance of these Terms
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of an agency or organization, you represent that you have authority to bind that entity to these Terms (or to the applicable Customer Agreement).
2. Definitions
- Customer: The agency, organization, or entity that contracts for the Services.
- Authorized User: An individual permitted by a Customer to access the Services (e.g., field team, incident command, leadership).
- Customer Data: Data submitted to or generated within the Services by or on behalf of a Customer or its Authorized Users.
- Customer Agreement: A signed agreement between Babbar Ops and a Customer governing that Customer's use of the Services.
3. The Services
Babbar Ops provides a secure agency portal with two primary capabilities:
- Live Command: multi source live video situational awareness
- Incident Command: a shared incident plan workspace for coordination and real time updates
The Services are designed for operational awareness and coordination. They are not a 911 system, dispatch system, emergency notification system, or guaranteed communications system.
4. Eligibility
You must be legally able to enter into these Terms. The Services are not intended for children under 13.
5. Accounts, access, and responsibilities
- Access to the portal is typically provisioned by a Customer administrator.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must promptly notify your administrator or Babbar Ops if you suspect unauthorized access.
Customers are responsible for:
- Role assignment and permissions (e.g., viewer vs supervisor/controller)
- Configuration choices and operational policies
- Ensuring usage aligns with agency policy and applicable law
6. Acceptable use
You agree not to:
- Access or attempt to access the Services without authorization
- Interfere with or disrupt the Services, networks, or security controls
- Probe, scan, or test the vulnerability of the Services without written permission
- Upload or transmit malware, harmful code, or content intended to damage systems
- Use the Services in violation of any applicable laws or third-party rights
- Use the Services for unlawful surveillance or in a manner that violates privacy or civil rights
- Misrepresent your identity or affiliation
Customers will not use the Services to intentionally violate constitutional rights, civil rights, surveillance laws, or applicable public safety regulations. Customers agree to comply with applicable export-control and sanctions laws in connection with their use of the Services.
We may suspend or terminate access for violations of these Terms or to protect the security of the Services.
7. Customer Data, video, and exports
As between Babbar Ops and the Customer, the Customer (or its licensors) owns Customer Data.
Incident plan content is not stored. The Services process incident plan inputs and updates in real time for collaboration, but Babbar Ops does not retain incident plan content as part of the Services.
Live video is not recorded. The Services transmit live video for real time situational awareness only and do not record, capture, or retain live video. Video passes through the Services transiently to enable live viewing. Any recording of an operation, if performed, is done by the Customer's own systems and is outside the Services.
No recording or records service by default. Babbar Ops does not provide a recording, archival, evidence-management, or records-retention service unless expressly stated in a written Customer Agreement.
Agency records and disclosure obligations. Babbar Ops is not the custodian of agency public records. Determinations regarding public records requests, evidence preservation, disclosure obligations, retention schedules, and legal holds remain the responsibility of the Customer.
PDF exports. Customers may export incident plan content to PDF. Exported PDFs become Customer-controlled records and are subject to the Customer's own policies, including any evidence/records retention requirements. The Customer is responsible for handling, storing, and retaining exported PDFs in accordance with its policies and applicable law.
You grant Babbar Ops a limited, non-exclusive license to host, process, transmit, and display Customer Data only as necessary to provide and secure the Services and as permitted by the Customer Agreement.
8. Live operations, limitations, and "not a system of record"
The Services are intended to support decision-making and coordination, but:
- Operational decisions remain the responsibility of the Customer and Authorized Users.
- The Services may be impacted by network conditions, device limitations, third-party systems, or other factors outside Babbar Ops's control.
- The Services are designed for live situational awareness and coordination and are not intended to be the Customer's system of record.
Not mission-critical infrastructure. The Services are intended to support operational awareness and coordination. The Services are not intended to replace dispatch systems, CAD systems, radio communications, emergency notification systems, evidence management systems, records management systems, or other mission-critical public safety systems. Customers remain responsible for maintaining independent operational communications and decision-making processes.
Government users. Government entities may be subject to laws, regulations, records-retention requirements, procurement requirements, and public disclosure obligations that differ from those applicable to commercial users. Customers are responsible for ensuring their use of the Services complies with such requirements.
No legal reliance. Customers are responsible for independently verifying information used in operational decision-making. Babbar Ops does not guarantee the accuracy, completeness, timeliness, or availability of information displayed through the Services.
Service availability. Service availability may be interrupted by internet outages, wireless interference, power failures, cloud service disruptions, device failures, or other conditions outside Babbar Ops's reasonable control.
9. Security and audit logs
Babbar Ops implements reasonable safeguards designed to protect the Services. Any CJIS-related or other compliance obligations applicable to a Customer's use of the Services are governed by that Customer's Customer Agreement. References to CJIS or similar requirements do not constitute a representation that the Services satisfy any particular compliance standard unless expressly stated in a written Customer Agreement.
For accountability and troubleshooting, Babbar Ops retains access and audit logs for 18 months, then deletes or de-identifies them unless a longer period is required by contract or law. Access and audit logs may include user identifiers, login events, authentication activity, IP addresses, role changes, administrative actions, stream connection events, and system security events.
Customers are responsible for configuring and using the Services in accordance with their policies and obligations.
10. Intellectual property
Babbar Ops and its licensors own all rights, title, and interest in and to the Services, including software, designs, and trademarks. Except as expressly allowed, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services.
"Babbar Ops" and related marks are trademarks of Babbar Operations LLC.
11. Feedback
If you provide suggestions or feedback, you grant Babbar Ops the right to use it without restriction or compensation, and without any obligation to you.
12. Third-party services
The Services may interact with third-party services (e.g., identity providers, device video sources). Babbar Ops is not responsible for third-party services and they may be subject to separate terms.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." BABBAR OPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BABBAR OPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
BABBAR OPS'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO BABBAR OPS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF NO FEES WERE PAID), UNLESS A CUSTOMER AGREEMENT STATES OTHERWISE.
Some jurisdictions do not allow certain limitations; in that case, limitations apply to the fullest extent permitted.
The limitations of liability in these Terms apply regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, or otherwise.
15. Indemnification
You agree to indemnify and hold Babbar Ops harmless from claims arising out of your misuse of the Services or violation of these Terms, to the extent permitted by law and subject to any Customer Agreement.
16. Suspension and termination
We may suspend or terminate access to the Services:
- For security reasons
- To prevent misuse or harm
- For violations of these Terms
- As directed by the Customer (e.g., deprovisioning a user)
Data handling upon termination is governed by the Customer Agreement and Customer configurations.
Babbar Ops may temporarily restrict access where reasonably necessary to protect the security, integrity, or availability of the Services.
17. Governing law
Unless a Customer Agreement states otherwise, these Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
18. General
- Entire agreement. These Terms, together with any applicable Customer Agreement and the Privacy Policy, constitute the entire agreement between you and Babbar Ops regarding the Services and supersede any prior understandings on that subject.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Babbar Ops is not liable for any delay or failure to perform due to causes beyond its reasonable control.
- Notices. We may provide notices to you through the Services or by email. Notices to Babbar Ops should be sent to the address below.
- Survival. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
19. Changes to these Terms
We may update these Terms from time to time. The effective date will be updated at the top of this page. Continued use of the Services after changes become effective constitutes acceptance.
